These Terms of Service ("Terms") govern your access to and use of Gang Sheet Builder Pro (the "Service"), operated by Jasa Apparel LLC ("we", "us", "our"). By installing or using the Service, you ("you", "Merchant") agree to be bound by these Terms. If you do not agree, do not install the Service.
Gang Sheet Builder Pro is a Shopify application that enables your storefront visitors to design or upload gang sheet artwork for Direct-to-Film (DTF) and similar print products. The Service renders print-ready files, tracks usage against a monthly quota, optionally syncs files to your Dropbox folder, and integrates with Shopify Billing for subscription management.
You must (a) be at least 18 years old, (b) have an active Shopify store, and (c) have legal authority to bind the entity operating that store. You agree to provide accurate information and to keep your contact details current.
Authentication is handled by Shopify OAuth. We do not store your Shopify password. Your shop's offline access token is stored encrypted and used only to perform Service operations on your behalf within the scopes you approved at install time.
The Service offers multiple subscription tiers. Pricing and quota details for each tier are displayed on the "Switch Plan" page within the Service and are subject to change with reasonable notice.
The Free tier permits up to 100 square feet of rendered sheet output per billing cycle at no base fee. Usage beyond the quota accrues a 5% commission on the gang sheet revenue per qualifying order, capped at USD 10 per order. Commission is calculated only on line items produced by the Service (identified by the _design_id property) and only on orders with a confirmed Shopify payment status of "paid". Commission charges are submitted to Shopify Billing through the standard appUsageRecordCreate mechanism and appear on your regular Shopify invoice. Test orders, cancelled orders, and refunded orders do not accrue commission.
Paid tiers are flat monthly fees billed by Shopify Billing on a 30-day cycle starting from your approval date. Each paid tier has a higher monthly quota. Once the quota is reached, customer orders continue to be accepted, but the print-ready download and Dropbox sync are temporarily locked for over-quota orders until you upgrade your plan or the cycle renews. No data is lost.
Upgrades and downgrades take effect at the next approval through Shopify's standard plan-change flow. Shopify pro-rates the existing cycle's unused portion and applies it to the new subscription per Shopify's billing policies.
You may cancel your subscription at any time from the "Switch Plan" page or by uninstalling the app. Upon cancellation: (a) the Shopify subscription is cancelled and no further charges are made by Shopify after the current cycle; (b) accrued commission charges already submitted to Shopify Billing remain owed; (c) your data is retained for approximately 48 hours after uninstall, then deleted as described in our Privacy Policy.
Subscription fees are non-refundable except where required by applicable law or where, in our reasonable judgment, a service failure on our part materially prevented you from using a paid tier. Refund requests must be submitted within 14 days of the disputed charge to support@gangsheetbuilderpro.com. Refunds, when granted, are issued through Shopify.
We may, at our discretion, grant complimentary access ("Comp") to specific shops outside Shopify Billing. Comp access can be revoked at any time, in which case the shop reverts to the Free tier. No charges have been made to a comp shop and no refund is due upon revocation.
You agree not to, and not to permit your storefront visitors to, use the Service to:
We reserve the right to suspend or terminate any account that violates this section, with or without prior notice depending on severity.
The Service, including its source code, design, database schema, branding, and documentation, is owned by us or our licensors and is protected by applicable intellectual-property laws. These Terms grant you only a limited, non-exclusive, non-transferable, revocable license to use the Service in connection with your Shopify store.
You retain ownership of all designs, images, fonts, brand assets, and other content you or your storefront visitors upload through the Service ("Customer Content"). You grant us a limited, worldwide, royalty-free license to host, store, transmit, render, and process the Customer Content solely as necessary to provide the Service to you.
When a storefront visitor uploads an image or text through your store, you, as the operator of that store, are responsible for ensuring the upload is lawful and rights-cleared. We provide tools to remove and report infringing uploads on receipt of a valid takedown notice; please email support@gangsheetbuilderpro.com.
If you send us suggestions or feedback, you grant us a perpetual, royalty-free right to use that feedback without obligation.
The Service integrates with Shopify, Cloudflare R2, optionally Dropbox, and other providers listed in our Privacy Policy. Your use of those third-party services is governed by their respective terms. We are not responsible for outages, data loss, or changes in policy of third-party services beyond our control.
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that rendered files will be free of defects, that the Service will be uninterrupted, that all errors will be corrected, or that the Service will meet your specific requirements. Beta features, where clearly labeled, are provided with even greater disclaimer.
You are solely responsible for verifying rendered files before sending them to production, and for maintaining your own backups of critical data.
To the maximum extent permitted by applicable law:
You agree to defend, indemnify, and hold harmless us and our affiliates from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from (a) your or your storefront visitors' Customer Content, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual-property right.
You may terminate these Terms at any time by uninstalling the app from your Shopify admin. We may suspend or terminate the Service immediately if (a) you breach these Terms, (b) we are required to do so by law, or (c) we discontinue the Service generally (in which case we will provide at least 30 days' notice where reasonably possible). Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — survive.
We may modify the Service or these Terms at any time. Material changes will be announced by email to the shop owner email on file and reflected at the top of this page with an updated date. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not accept the changes, you may uninstall the app.
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of [STATE OF INCORPORATION, e.g., Delaware] and the federal laws of the United States applicable therein, without regard to conflict-of-laws principles that would result in the application of any other jurisdiction's laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Except as provided below, the state and federal courts located in [COUNTY], [STATE OF INCORPORATION] have exclusive jurisdiction over any dispute, and each party consents to personal jurisdiction and venue in those courts. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights.
Class-action waiver. To the maximum extent permitted by law, you and we each waive any right to assert claims against the other as a representative or member in any class or representative action.
If you are a consumer with a non-waivable right under the law of your country of residence to bring proceedings in that country, this section does not limit that right.
We respect intellectual-property rights and respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512. If you believe content uploaded through the Service infringes your copyright, send a written notice to our Designated Agent containing:

We may remove allegedly infringing content and, in appropriate circumstances, terminate the account of repeat infringers. The party who uploaded the content may submit a counter-notice in accordance with 17 U.S.C. § 512(g).
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect.
